Professional Experience

Ekin has re- joined Gökkılıç Law Office in 2017 after working as partner in international law firms Istanbul offices.

She has over 20 years of experience in mergers and acquisitions acting for both buyers and sellers in a wide range of sectors including retail, food & beverage, pharma, energy, and high-end fashion. She has represented numerous private equity firms in their investments into Turkish corporations and has also worked with family business in sale of shares to financial or equity investors. Ekin has been involved in some of the most high-value and complex strategic alliance/acquisition projects in Turkey.

Ekin has also been at the forefront of major capital market projects in Turkey from the first IPO of a Turkish company in the New York Stock Exchange to the highest international bond offering by a Turkish corporate. She is US trained and US qualified, therefore, has in-depth understanding of the US securities legislation applicable to international offerings and can work effectively with international legal counsel.

We act for private equity firms and other financial investors on a wide range of areas such as deal structuring, acquisition, financing, exits, competition and regulatory matters. We provide integrated and practical advice that is relevant to the client’s industry.

Increasingly businesses are carving out their non-core functions. Carve-outs pose a large number legal issues in a wide range of areas such as employment, tax planning, liability, and regulatory. Whether on the buy-side or the sell-side we help our clients classify and solve risks identified in due diligence and negotiate the transaction agreements with business functionality point of view.

We represent issuers/selling shareholders in local or international initial public offerings or secondary offerings. We also advise corporations in handling corporate formalities and creating the right corporate governance structure in preparation of an initial public offering. We are experienced in a wide range of sectors including beverage, financial services, telecommunications and logistics.

In the context of an international offering, our team has in-depth understanding of Rule 144A placement to institutional investors in the US and the 10b-5 disclosure standards and works efficiently with issuer’s international counsel in these transactions.

Our proficiency in corporate and regulatory matters enables us to provide informed legal insight to our clients who are continuously faced with complex and fast-changing compliance challenges on a wide range of areasWe advise our clients on risk assessments, compliance reviews, and conduct transactional or institutional due diligence reviews. We also help corporations prepare to initial public offering or equity investment through reorganizations and creating the right governance structures. Finally, we assist our clients with their daily corporate formalities.  

We have leading experience in advising issuers on a large number of debt capital market products including: investment grade bonds, Eurobonds and EMTN programmes and or structured financial products.

Our team represents women experiencing distress either in their personal lives or at the workplace. We have successfully assisted our clients through effective representation in family law matters, protection orders, child custody and visitation rights, discriminatory acts, mobbing, and verbal or physical sexual assault.

We help family members preserve and grow the family business through careful preparation of  succession plans, drafting family constitutions, creating a framework for the corporate governance.
